Terms of Service (Singapore)

1. Introduction

1.1 Who we are

Hello, we are Tutero Pty Ltd, a company incorporated and registered in Victoria, Australia with company number ACN 647 042 251 (we, our, us, Tutero). We are the owner and provider of the products and services offered on www.tutero.com/sg (Tutero Website), including the personalised online tutoring platform (Tutoring Platform), our teacher software (Teacher Software) and products and services that we may provide now or in the future via the Tutero Website (collectively, the Services).

1.2 These Terms

(a) These Terms are general terms which govern your relationship with us as a user of a Service (User). Additional terms may apply to you as a User registered as a student, a parent, a tutor, a teacher, or a school.

(b) You accept these Terms when you tick the box or click the button on the Tutoring Platform or Tutero Website that says you accept them, for example when you submit a Request, accept an Offer or create an account. We keep a record of the version of these Terms you accepted and the date and time you accepted them. If you use a Service without having done this, using the Service means you accept these Terms.

(c) You must be at least 18 years old to create an account, submit a Request, accept an Offer or pay for Tutoring Services. If you are a parent or legal guardian booking Tutoring Services for a child, you are the Tutoring Customer and you accept these Terms for yourself and on behalf of your child.

(d) A student under 18 may only use the Services through an account set up or approved by their parent or legal guardian, who has accepted these Terms. If your parent or guardian has not done so, you are not allowed to use any of the Services. The parent or guardian is responsible for the child's use of the Services.

1.3 Other applicable terms

(a) Our Privacy Policy explains how we collect, use, disclose and protect personal data, including the personal data of children, and our use of cookies and similar technologies. Please read it. You warrant that all information you provide to us is accurate.

(b) You also agree to abide by and use the Services in accordance with any notifications, instructions, additional terms and policies featured on the Tutero Website or provided by us to you from time to time.

1.4 Changes to these Terms and Interpretation

(a) We may revise these Terms at any time by giving Users at least 14 days' notice by email, and the amended Terms will only become effective after that notice period. If you disagree with the revised Terms, you may end your agreement with Tutero before they take effect, and you will not be charged for any Tutoring Session that has not yet taken place. If you do not do so before the date the revised Terms become effective, your continued access to or use of the Services will constitute acceptance of the revised Terms. A change will not apply to a Tutoring Session that has already taken place or to a pre-paid package you bought before the change, unless the change is in your favour.

The Terms will also be updated on the Tutero Website from the time that they become effective.

(b) If there is any inconsistency between these Terms and an Offer, these Terms will prevail to the extent of the inconsistency.

2. Scope of Services

2.1 Provider of the Tutoring Platform

(a) Tutero provides Users with access to and use of the Tutoring Platform to enable Tutors and Tutoring Customers to connect, for Tutoring Customers to make Requests and Tutors to make Offers, and for Tutors to provide Tutoring Services to Tutoring Customers.

(b) Each Tutor has appointed Tutero as their agent to promote their Tutoring Services, to present Offers, to negotiate and conclude agreements for Tutoring Services on their behalf, and to collect Tutorial Fees for them. When we match you with a Tutor, present an Offer to you or confirm a booking, we do so as that Tutor's agent.

(c) When an Offer is accepted, the contract for the Tutoring Services is made directly between the Tutoring Customer and the Tutor. The Tutor is the supplier of the Tutoring Services. Tutero is not a party to that contract, but this does not limit any obligation Tutero has to you under these Terms or under Singapore law.

2.2 Relationship between the Users of the Tutoring Platform

(a) When a Tutoring Customer accepts an Offer made by or on behalf of a Tutor in response to a Request, the Tutoring Customer and the Tutor will be taken to have entered into a separate agreement for the Tutoring Services described in the Offer, which is made up of these Terms and any other terms agreed between those parties. You agree that any such agreement to which you are a party will not contain any terms that are inconsistent with these Terms.

(b) It is acknowledged and agreed that:

(i) the Tutoring Services are provided to Tutoring Customers by Tutors and not by Tutero;

(ii) the Tutors are responsible and liable for the provision of the Tutoring Services, including how each lesson is taught; and

(iii) Tutero is responsible for operating the Tutoring Platform, collecting and passing on payments, and handling the matching, scheduling and support services we provide under these Terms.

2.3 Limited licence to the Teacher Software

(a) If you are approved by us to be a User of the Teacher Software, we grant you a non-exclusive, non-transferable, revocable and limited licence to use the Teacher Software for educational purposes to support students' learning.

(b) Your use of the Teacher Software may be subject to any limitations as set out in the Software Documentation from time to time.

3. Your obligations

3.1 Registration

(a) You agree that you will provide truthful and accurate information when you register.

(b) If you are a parent creating an account for your child or children, you agree that you will provide truthful and accurate information about your child or children.

(c) You may not register if you are already registered, or if you were previously a registered User and we cancelled your account because you breached these Terms.

(d) You are responsible for keeping your password and account information confidential. You are responsible for all activities that occur under your account, except to the extent they result from our own breach of these Terms or our negligence.

(e) You must notify us promptly of any unauthorised use of your password or account or any other breach of security. We will not be liable for any loss or damage resulting from your disclosure of your username or password contrary to these Terms.

(f) You are responsible for keeping the information we hold about you up to date. Please update your online profile from time to time or contact us if you need help.

(g) Please refer to our Privacy Policy for an explanation of how we use the personal data we collect from you.

3.2 Your responsibilities

(a) You are responsible for making all IT arrangements necessary to use the Services, including a suitable device and internet connection for online lessons.

(b) You may use our Services only for lawful purposes. In particular, you may not use the Services:

(i) in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;

(ii) to send, or procure the sending of, any unsolicited or unauthorised electronic communication, advertising or promotional material or any other form of similar solicitation or spam; or

(iii) to knowingly transmit any data or send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of the Services or any computer software or hardware.

(c) You must not:

(i) copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute, or attempt to do so, all or any portion of the Tutoring Platform, Teacher Software or any other Services (or any content within them) in any form or media or by any means, except as the Services allow;

(ii) access all or any part of the Tutoring Platform, Teacher Software or any other Services (or any content within them) in order to build products that compete with Tutero's business; or

(iii) interfere with, damage or disrupt: (A) any part of the Services; (B) any equipment or network on which the Services are stored; (C) any software used in the provision of the Services; or (D) any equipment, network or software owned or used by any third party.

3.3 Uploaded content and contact with other Users

(a) The content of all communication between Users taking place via a Service, and any information, documents or content uploaded to or transmitted via a Service by Users (Communication), must:

(i) comply with applicable law;

(ii) not infringe any copyright, database right or trade mark of any other person;

(iii) not be likely to deceive any person; and

(iv) not be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.

(b) You grant us a non-exclusive, royalty-free, worldwide licence to host, copy, store and make available your Communication for the purposes of providing, supporting and improving the Services, for as long as we hold it in line with our Privacy Policy.

(c) You warrant that any Communication you make complies with clause 3.3(a). You are responsible for any loss or damage we suffer as a result of a breach of that warranty, to the extent clause 10 allows.

(d) You acknowledge that you are responsible for your own interactions with other Users. Tutero is not responsible for the conduct of other Users, except to the extent caused by our own breach of these Terms or our negligence.

3.4 Lesson recordings and lesson reports

Tutoring Sessions on the Tutoring Platform may be recorded. We use recordings, and information from them, to keep a record of lessons, to prepare lesson reports for parents (which may be generated with the help of artificial intelligence), for safeguarding and quality review, and to resolve complaints. Our Privacy Policy explains who can view recordings and how long we keep them.

4. Tutero's obligations

4.1 Availability of the Services

We will provide the Services with reasonable care and skill. To the extent permitted by law, we do not promise that the Services will always be available, secure, uninterrupted or free of defects.

4.2 Updates and modifications

(a) We may from time to time, without any action on your part:

(i) implement updates to the Services, which may be implemented automatically; or

(ii) make changes to the Services or parts of them, including adding or removing features and functionality.

(b) Your access to the Services may be suspended or restricted occasionally to allow for maintenance, repairs, upgrades, or the introduction of new facilities or services. We will try to limit the frequency and duration of any planned disruption. If a Tutoring Session cannot take place because of a problem with the Tutoring Platform, you will not be charged for it and we will help you reschedule.

4.3 Computer viruses

(a) We will use reasonable endeavours to ensure that no part of our Services will contain or spread any viruses or other malicious code. We recommend that the devices you use to access the Services run up-to-date anti-virus software, and that you virus-check any materials downloaded from our Services.

(b) To the extent permitted by law, we will not be liable for any loss or damage caused by a virus or other technologically harmful material that may infect your devices, programs, data or other material due to your use of the Services or your downloading of any content from them, or from any website linked to them, unless it results from our failure to take reasonable care.

5. Fees for Tutoring Customers

5.1 Tutoring Platform

(a) You must pay a Tutorial Fee to your Tutor for each Tutoring Session, collected by us as your Tutor's agent in accordance with clause 6.1(a).

(b) Each Tutor sets their own Tutorial Fee. We publish a minimum Tutorial Fee and suggested fee bands on the Tutero Website (lessons currently start from S$65 an hour). The Tutorial Fee that applies to your lessons is the one set out in the Offer you accept.

(c) All Tutorial Fees are in Singapore dollars (S$) and are the full amount you pay for the lesson. There is no sign-up fee, booking fee or other charge from Tutero to you. Tutors are not usually registered for GST, so no GST is added to Tutorial Fees. If your Tutor is registered for GST, the Offer will say so and the Tutorial Fee will include GST.

(d) You pay after each completed Tutoring Session. If you choose to buy a pre-paid package of Tutoring Sessions with your Tutor, you pay the total Tutorial Fees for the package upfront in accordance with clause 6.1(b). You may change Tutors while using your pre-paid package provided that the Tutorial Fees are the same for your current Tutor and the new Tutor.

5.2 Cancellation and rescheduling

(a) You may cancel or reschedule a Tutoring Session free of charge if you give at least 24 hours' notice before its scheduled start time, through the Tutoring Platform or by contacting your Tutor or us.

(b) If you are a Tutoring Customer and you give less than 24 hours' notice of cancellation, or the student does not attend, your Tutor may charge you a Cancellation Fee of the Tutorial Fee for 30 minutes of that Tutoring Session (or the whole Tutorial Fee if the Tutoring Session is 30 minutes or shorter), unless the Offer sets a lower amount.

(c) Tutors must also give at least 24 hours' notice if they cannot attend a Tutoring Session. If your Tutor cancels, or does not attend, you will not be charged for that Tutoring Session and we will help you reschedule or find another Tutor.

5.3 Teacher Software

Access to and use of the current version of the Teacher Software itself is free, but we may develop and release a new version of the Teacher Software which will be charged on a subscription basis. We will tell you before you are charged anything for it.

6. Payment terms for Tutoring Customers

6.1 Tutorial Fee

(a) Once your Tutor confirms that a Tutoring Session is completed (or if we are satisfied that it has been completed), we will collect payment on behalf of your Tutor by charging the Tutorial Fee to the payment card or other payment method you nominated on the Tutoring Platform, and will pay the Tutorial Fee to your Tutor (after deducting the Service Fee your Tutor pays us).

(b) If you choose to buy a pre-paid package of Tutoring Sessions, we will:

(i) collect payment upfront on behalf of your Tutor by charging the total Tutorial Fees for the package to your nominated payment method;

(ii) hold the pre-paid Tutorial Fees as agent for your Tutor and pay your Tutor the Tutorial Fee for each Tutoring Session (after deducting the Service Fee) once your Tutor confirms that it has been completed (or if we are satisfied that it has been completed), until all the pre-paid Tutoring Sessions are completed; and

(iii) if your agreement ends before all pre-paid Tutoring Sessions are used, refund the Tutorial Fees for unused Tutoring Sessions to you, less any Cancellation Fee properly charged under clause 5.2.

(c) For every charge, we will send you a receipt showing the Tutorial Fee and stating that it was charged by Tutero Pty Ltd as payment collection agent for your named Tutor.

(d) Payments are processed by our third-party payment processor. We do not store your full card details.

6.2 Failed payments

(a) If we are unable to process a payment through your nominated payment method, we will notify you and you must fix the issue within 48 hours.

(b) If the payment issue continues for longer than 48 hours, we may, without limiting our or your Tutor's other rights and remedies, suspend your access to the Tutoring Platform and Tutoring Services until all outstanding amounts are paid in full.

6.3 Refunds

(a) Once a Tutoring Session has been completed and the Tutorial Fee has been charged, the Tutorial Fee is not refundable, except as set out in this clause 6.3 or as required by law.

(b) First lesson: if you are not satisfied with your first Tutoring Session with a Tutor, contact us within 3 days of that Tutoring Session and tell us why. We will review your request on your Tutor's behalf, under the authority your Tutor has given us. If your request is approved, we will refund the Tutorial Fee for that Tutoring Session to your nominated payment method.

(c) If a Tutoring Session was charged but did not take place, or was not delivered as described in the Offer for reasons within your Tutor's or our control (for example, the Tutor did not attend or the Tutoring Platform failed), contact us and we will refund or credit the Tutorial Fee for that Tutoring Session.

(d) If you think you have been charged in error, contact us and we will investigate and correct any error.

(e) Nothing in these Terms limits any right or remedy you have under the Consumer Protection (Fair Trading) Act 2003 or any other law that cannot be excluded by agreement.

7. Intellectual Property Rights

7.1 Tutero Content

You acknowledge that all Intellectual Property Rights in the Services and all materials provided by us as part of the Services, including text, graphics, photos, logos, button icons, images, trade marks, audio and audio visual clips, databases, data compilations, data and software (but excluding User Content) (together the Tutero Content), are (as between you and us) owned and controlled by or licensed exclusively to us. You may not copy, adapt, display, communicate to the public or otherwise use any Tutero Content except as enabled and permitted by us as part of the Services.

7.2 User Content

(a) We acknowledge that the Intellectual Property Rights in our Services and the Tutero Content do not include the Intellectual Property Rights in User Content.

(b) You agree that we may use User Content to perform our obligations under these Terms.

(c) We will store and use User Content in accordance with our Privacy Policy, which can be viewed on the Tutero Website.

8. Limitation of liability

(a) To the maximum extent permitted by law and subject to clauses 8(d) and 9, we make no representations, warranties or guarantees about the Services or any content available through the Services other than those set out in these Terms, and all other conditions, warranties and representations, express or implied, are excluded.

(b) Subject to clauses 8(d) and 9, and to the maximum extent permitted by law, whether in contract, tort (including negligence), breach of statutory duty, or otherwise:

(i) we will not be liable to you for any loss or damage caused by the acts or omissions of a Tutor or any other User, or by your use of or reliance on any Communication, except to the extent the loss or damage is caused by our own breach of these Terms or our negligence;

(ii) we will not be liable to you for any indirect or consequential loss, or for any loss of revenue, profit, business opportunity, contracts, data or goodwill, arising out of or in connection with these Terms or the Services; and

(iii) our total liability to you for any and all loss or damage arising out of or in connection with these Terms or the Services will not exceed the lesser of (A) the total Tutorial Fees you paid through the Tutoring Platform in the 12 months before the event giving rise to the liability, and (B) S$10,000.

(c) The liability of a party for loss or damage sustained by another will be reduced proportionately to the extent that the loss or damage was caused by the other party's failure to comply with its obligations under these Terms, or by the negligence or other wrongful act or omission of the other party.

(d) Nothing in these Terms excludes or limits:

(i) liability for death or personal injury caused by negligence;

(ii) liability for fraud or fraudulent misrepresentation; or

(iii) any other liability that cannot be excluded or limited under Singapore law.

9. Your rights under Singapore law

(a) If you deal with us as a consumer, nothing in these Terms is intended to remove or limit any right or remedy you have under the Consumer Protection (Fair Trading) Act 2003, the Unfair Contract Terms Act 1977 or any other Singapore law that cannot be excluded or limited by agreement.

(b) Any term of these Terms that is inconsistent with those rights does not apply to you to the extent of the inconsistency.

10. Indemnity and release

10.1 Indemnity by you

To the extent permitted by law, you agree to indemnify us against third-party claims, liabilities, damages, expenses and costs that we suffer or incur as a result of:

(a) your breach of these Terms or any other terms applicable to the Services;

(b) your misuse of the Services;

(c) your failure to comply with applicable laws;

(d) the infringement by you, or by any person using your account with your permission, of any intellectual property, privacy or other right of any person, including in connection with your User Content; or

(e) your breach of any agreement between you and any other User,

except to the extent the claim, liability, damage, expense or cost was caused by our own breach of these Terms or our negligence.

10.2 Our rights

We may take over the defence of any third-party claim for which you are required to indemnify us, and you agree to cooperate reasonably with that defence.

10.3 Disputes between Users

If you have a dispute with another User, please tell us. We will try to help resolve it. To the extent permitted by law, you release us from claims arising out of that dispute, except to the extent the dispute was caused by our breach of these Terms or our negligence. This clause does not affect any right you have under the Consumer Protection (Fair Trading) Act 2003.

11. Termination or suspension

(a) Subject to any additional terms which apply to you, either you or Tutero may end your account and these Terms at any time for any reason. If we end your account other than for your breach, we will give you reasonable notice, and you will not be charged for any Tutoring Session that has not taken place.

(b) We may terminate or temporarily suspend your account (or any part of it) or your use of the Services without notice if you are in material breach of these Terms, or if we reasonably believe that your use of the Services puts the safety of a student, a Tutor or any other person at risk or is unlawful.

(c) If your account ends, we will refund any pre-paid Tutorial Fees for unused Tutoring Sessions in accordance with clause 6.1(b)(iii).

(d) Clauses 5 (Fees), 6 (Payment), 8 (Limitation of liability), 9 (Your rights under Singapore law), 10 (Indemnity and release), 12 (General) and any other terms which by their nature should continue to apply, will survive the end of these Terms.

12. General

12.1 Assignment

(a) We may assign, subcontract, or otherwise transfer any or all of our rights and obligations under these Terms by giving you reasonable notice, provided this does not reduce your rights under these Terms.

(b) You may not assign, subcontract or otherwise transfer any of your rights or obligations under these Terms without our prior written consent.

12.2 Force majeure

Failure by us to perform any of our obligations under these Terms (or a delay in performance) due to a Force Majeure Event will not be a breach of these Terms. We will:

(a) promptly give you notice of the Force Majeure Event and an estimate of the non-performance and delay;

(b) take all reasonable steps to overcome the effects of the Force Majeure Event; and

(c) resume performance as soon as practicable after the Force Majeure Event no longer affects any party,

provided that if a Force Majeure Event continues for 30 days or more, you may end the Services with immediate effect by giving notice to us. You will not be charged for any Tutoring Session that does not take place because of a Force Majeure Event.

12.3 Governing law and disputes

(a) These Terms, and any dispute about them or the Services, are governed by the laws of Singapore.

(b) If something goes wrong, please contact us first at support@tutero.com.au. We will contact you within a reasonable time to discuss your complaint and aim to resolve it in a timely manner.

(c) If we cannot resolve your complaint, you may:

(i) ask the Consumers Association of Singapore (CASE) to help. If you request CASE mediation, we agree to take part;

(ii) bring a claim in the courts of Singapore.

(d) You and we submit to the non-exclusive jurisdiction of the courts of Singapore. We will bring any claim against you only in Singapore.

(e) Nothing in these Terms limits your right to complain to the Personal Data Protection Commission or any other regulator, or any right you have under Singapore law that cannot be excluded.

12.4 Legal relationship

Tutero acts as each Tutor's agent for the limited purposes described in clause 2.1(b) and clause 6. Otherwise, these Terms do not create any agency, partnership, joint venture, employment or similar relationship between you and us.

12.5 Notice

Unless otherwise stated, notices must be given by email, to our email address as displayed on the Tutero Website or to your email address as provided at registration. A notice is taken to be received 24 hours after the email is sent, unless the sender is notified that the email address is invalid or the email is undeliverable.

12.6 Severance

If any provision or part of a provision of these Terms is held to be illegal, invalid or unenforceable, it will be severed from these Terms and the rest of these Terms will remain in full force and effect.

12.7 Waiver

A waiver of any right under these Terms is only effective if it is in writing and signed by the party granting it.

12.8 Third-party rights

Your Tutor may enforce clauses 5 and 6 (fees and payment) under the Contracts (Rights of Third Parties) Act 2001. Otherwise, a person who is not a party to these Terms has no right under that Act to enforce any of them.
